If you continue to browse and use the Website / App (hereinafter, collectively referred to as "Website") you are agreeing to comply with and be bound by the following terms and conditions of use, including any future amendments (“Terms of Use”), which together with our Privacy Policy govern our relationship with you in relation to this Website (“User Agreement”).
This Website facilitates the provision of services to authorized dealers (“Dealer”) by enabling users to submit enquiries, personal information, and related details. By using this Website and submitting your information, you expressly authorize us to share your submitted details with the relevant Dealer for the purpose of responding to your enquiry, providing vehicle-related information, offers, or related services. You acknowledge and agree that the Dealer operates as an independent entity, and we shall not be responsible or liable for any actions, omissions, communications, representations, or use of your information by the Dealer after such information has been shared.
CarTrade Tech Ltd or its affiliates (hereinafter mentioned as CTT or its affiliates)’s may amend this User Agreement and/or the UCDMS Privacy Policy at any time by posting a revised version on the Website. The revised version will be effective at the time CTT or its affiliates posts it on the Website. You are advised to regularly check for any amendments or updates to the terms and conditions contained in this User Agreement and in the UCDMS.in Privacy Policy.
Use of the Website is available only to persons who can form legally binding contracts under Indian Contract Act, 1872. Persons who are "incompetent to contract" within the meaning of the Indian Contract Act, 1872 including minors, un-discharged insolvents etc. are not eligible to use the Website. If you are a minor i.e. under the age of 18 years, you shall not register as a member of the Website. CTT or its affiliates reserves the right to terminate your membership and refuse to provide you with access to the Website if it is brought to CTT or its affiliates notice or if it is discovered that you are under the age of 18 years.
If you are registering as a business entity, you represent that you are duly authorised by the business entity to accept this User Agreement and you have the authority to bind that business entity to this User Agreement and Privacy Policy.
If you use the Website, you are responsible for maintaining the confidentiality of your User ID and Password and for restricting access to your computer, computer system and computer network, and you are responsible for all activities that occur under your Email Address and OTP. In addition, you agree to provide true, accurate, current and complete information into the Website.
When You use the Website, You agree and understand that You are communicating with CTT or its affiliates through electronic records and You consent to receive communications via electronic records from CTT or its affiliates periodically and as and when required. CTT or its affiliates will communicate with You by email or electronic records on the UCDMS.in Website which will be deemed adequate service of notice / electronic record.
Membership on the Website is available on the payment of prescribed fee structure and meeting other conditions as described in the User Agreement. All fees are non-refundable. CTT or its affiliates may at its sole discretion introduce new services and modify some or all of the existing services offered on the Website. In such an event CTT or its affiliates reserves the right to introduce fees for the new services offered or amend/introduce fees for existing services, as the case may be.
Non-payment: CTT or its affiliates reserves the right to issue a warning, temporarily /indefinitely suspend or terminate your membership of the Website and refuse to provide you with access to the Website in case of non-payment of fees by You to CTT or its affiliates, CTT or its affiliates also reserves the right to take legal action in case of non-payment of fees by You to CTT or its affiliates.
Unless otherwise stated, all fees shall be quoted in Indian Rupees (INR)
You are responsible for paying all fees associated with the use of the Website and you agree to bear any and all applicable taxes, charges, cesses etc. levied thereon.
You understand and agree that CTT or its affiliates and the Website merely provides services to its Registered Users. All items advertised / listed and the contents therein are advertised and listed are third party user generated contents. CTT or its affiliates neither initiates the transmission nor selects the sender and receiver of the transmission nor selects nor modify the information contained in the transmission. CTT or its affiliates has no control over the third-party user generated contents.
Dealers and Users agree that all information, data, vehicle specifications, pricing details, promotional offers, documentation, and representations made available through the Website shall be accurate, complete, lawful, and not misleading.
The Dealer shall be solely responsible for ensuring that all listings and information comply with applicable data protection laws, consumer protection laws, motor vehicle regulations, taxation laws, and other applicable regulations.
You agree, undertake and confirm that your use of the Website shall be strictly governed by the following binding principles: "Your Information" is defined as any information you provide on the Website. You are solely responsible for Your Information, and we act only as a passive conduit for your online distribution and publication of Your Information.

Solely to enable CTT or its affiliates to use the information you supply us with, so that we are not violating any rights you might have in Your Information, you agree to grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sub-licensable (through multiple tiers) right to exercise the copyright, publicity, and database rights (but no other rights) you have in Your Information, in any media now known or not currently known, with respect to Your Information. CTT or its affiliates will only use Your Information in accordance with this Agreement. In the event that any transaction, attempted transaction or information relating to any item, good or service which is in violation of this User Agreement or applicable law comes to your knowledge, you shall take all steps to inform CTT or its affiliates of the same. You shall comply with all applicable Domestic laws, rules and regulations (including the provisions of any applicable Exchange Control Laws or Regulations in Force) and International Laws, Foreign Exchange Laws, Statutes, Ordinances and Regulations (including, but not limited to Goods and Service Tax and any other applicable laws) regarding your use of the Website. You shall not engage in any transaction in an item or service, which is prohibited by the provisions of any applicable law including exchange control laws or regulations for the time being in force.
CTT or its affiliates reserves the right, but not the obligation, to monitor, review, edit, remove or restrict access to any content, information, listing, communication or material uploaded, transmitted, or otherwise made available through the Website at its sole discretion and without prior notice, if such content is deemed to violate this Agreement, applicable law, or the policies of CTT or its affiliates.
From time to time, you shall be responsible for providing information relating to the items or services. In this connection, you undertake that all such information shall be accurate in all respects. You shall not exaggerate or over emphasize the attributes of such items or services so as to mislead other Users in any manner.
You shall not attempt to or circumvent or manipulate our Fee structure, the billing process or Fees owed to CTT or its affiliates.
CTT or its affiliates is not and cannot be a party to or control in any manner any interaction between two Users of the Website or any other third party. Consequently:
Without limiting other remedies, CTT or its affiliates may limit your activity, immediately temporarily/indefinitely suspend or terminate your membership, and/or refuse to provide you with access to the Website in the event, but not limited to:
CTT or its affiliates and its suppliers, affiliates and service providers provide the Website "as is" and without any Warranty or condition, express, implied or statutory and specifically disclaim any implied Warranties of title, merchantability, fitness for a particular purpose and non-infringement. Such information may be shared with authorized dealers, service providers, technology partners, analytics providers, regulatory authorities, or other third parties as required for operational, legal, or compliance purposes.
The Website and/or its respective suppliers, affiliates, associates, representatives make no representations about the suitability, reliability, availability, timeliness and accuracy of the information, products and services contained on the Website for any purpose. All such information, products offered, services offered etc. are provided on an "as is where is" basis without warranty of any kind. Website and/or its respective suppliers, associates, affiliates hereby disclaim all warranties and conditions with regard to the information, products, services, including all implied warranties and conditions of merchantability, fitness for a particular purpose, title and non-infringement. You represent and warrant that your use of the Website and any information, material, listing, communication, or transaction conducted through the Website shall at all times comply with all applicable laws, rules, and regulations including but not limited to motor vehicle laws, consumer protection laws, taxation laws, data protection laws, and any other statutory requirements in force within India.
You further represent and warrant that all information, documents, vehicle details, specifications, pricing, promotional offers, ownership details, registration details, and any other data uploaded or provided by you on the Website shall be true, correct, complete, and not misleading in any manner.
You shall not intentionally conceal or misrepresent any material fact that may influence the decision of any other customer interacting through the Website.
Where you are acting on behalf of a dealership, organization, or business entity, you represent and warrant that you are duly authorized by such entity to access and use the Website and to bind such entity to the terms of this Agreement. You further agree that the entity on whose behalf you act shall remain fully responsible and liable for all activities carried out through your account.
You represent and warrant that any content, information, materials, images, trademarks, logos, documents, or other data uploaded or transmitted by you through the Website does not infringe or violate the intellectual property rights, privacy rights, publicity rights, contractual rights, or any other legal rights of any third party.
You represent and warrant that you shall be solely responsible for all activities conducted through your account, whether carried out by you or by any employee, agent, representative, or person authorized by you to access the Website using your login credentials.
You represent and warrant that you shall not attempt to gain unauthorized access to any portion of the Website, servers, systems, networks, databases, or other accounts connected to the Website through hacking, password mining, reverse engineering, scraping, or any other unlawful means.
You represent and warrant that any personal data or customer information submitted by you on the Website has been collected and shared in compliance with applicable data protection and privacy laws, and that you possess the lawful authority and necessary consent to share such information with CTT or its affiliates.
You agree to cooperate fully with CTT in the investigation of any suspected unlawful, fraudulent, or improper activity on the Website and shall provide such information and assistance as may reasonably be requested.
Unless otherwise stated, copyright and all intellectual property rights in all material presented on the Website including but not limited to text, graphics, button icons, images, audio clips, digital downloads, data compilations, and software, trademarks and logos appearing on the Website are the property of the CTT, its parent, affiliates and associates and are protected under applicable Indian and international laws. You agree not to use any trademark or logo or other proprietary information of the CTT without obtaining its prior written consent.
You agree that CTT or its affiliates can and may communicate with you in relation to the use of the Website via phone calls, SMS, E-Mails and/or any other method & CTT or its affiliates will not be liable to you and/or any other authority for such an act. If your number is registered with any Do Not Call (DNC) and/or Do Not Disturb (DND) service you hereby authorize CTT or its affiliates to communicate with you via telephone calls, SMS, E-Mails and/or any other method and You will not in any case hold CTT or its affiliates liable for any communication in this regard.
You shall indemnify and hold harmless CTT and (as applicable) CTT parent, subsidiaries, affiliates, third-parties and their respective officers, directors, agents, employees, suppliers, service partners, agents and consultants from any claim or demand, or actions including reasonable attorneys' fees, made by any third party or penalty imposed due to or arising out of your breach of this Agreement, or the documents they incorporates by reference, or your violation of any law, rules or regulations or the rights of a third party or any inaccurate or misleading information provided by you or disputes between Dealers and customers arising out of transactions conducted through the Website or infringement of intellectual property rights or privacy rights of any third party.
By using this website, you hereby legally authorised CTT or its affiliates to collect, receive, store, process, use, verify, and retain personal information and documents submitted by you or on your behalf for the purposes of account creation, identity verification, compliance with applicable laws, facilitation of services available on the Website, and for operational, administrative, legal, regulatory, or security purposes.
Such information may include, without limitation, identity and verification documents such as Permanent Account Number (PAN), Aadhaar Card, Passport, Driving Licence, address proof, contact information, business credentials, dealership information, and any other Know Your Customer (KYC) documentation or information as may be required from time to time.
You acknowledge and agree that CTT or its affiliates may store, process, and maintain such information and documents in electronic form on secure servers, databases, or cloud infrastructure maintained either by CTT or by authorized third-party service providers engaged by CTT for the purposes of providing the services through the Website.
You further consent that such information may be shared, disclosed, or transferred by CTT or its affiliates to authorized dealers, service providers, technology partners, verification agencies, regulatory authorities, law enforcement agencies, or other third parties where such disclosure is necessary for the provision of services, compliance with applicable legal or regulatory requirements, fraud prevention, identity verification, dispute resolution, or enforcement of the terms of this Agreement.
CTT shall take reasonable and commercially practicable measures to protect such information against unauthorized access, disclosure, alteration, or destruction; however, you acknowledge that transmission of information over the internet may not be completely secure and CTT shall not be liable for any unauthorized access or breach beyond its reasonable control.
By submitting such information and documents on the Website, you represent and warrant that you have the lawful authority and necessary consent to provide such information and that the information provided is true, accurate, and complete
None of the provisions of the User Agreement shall be deemed to constitute a partnership or agency between you and CTT or its affiliates and you shall have no authority to bind CTT or its affiliates in any manner whatsoever.
Except as explicitly stated otherwise, any notices shall be given by registered postal mail on behalf of CTT or its affiliates to CarTrade Tech Attn: Legal Department, CarTrade Tech Limited, 12th Floor Vishwaroop IT Park, Sector 30A, Vashi, Navi Mumbai 400705 (in the case of CarTrade Tech Limited or its affiliates) or to the email address you provide to us during the registration process (in your case). Notice shall be deemed given 24 hours after email is sent, unless the sending party is notified that the email address is invalid. Alternatively, we may give you notice by certified mail, postage prepaid and return receipt requested, to the address provided to us during the registration process. In such case, notice shall be deemed given 3 days after the date of mailing.
If any clause of the User Agreement shall be deemed invalid, void or for any reason unenforceable, such clause shall be deemed severable and shall not affect the validity and enforceability of the remaining clauses of the User Agreement.
If any dispute arises between you and CTT or its affiliates during your use of the Website or thereafter, in connection with the validity, interpretation, implementation or alleged breach of any provision of the User Agreement and seller terms and conditions or the documents they incorporates by reference, the dispute shall be referred to a sole Arbitrator who shall be an independent and neutral third party identified by CTT or its affiliates. The place of arbitration shall be Mumbai. The Arbitration & Conciliation Act, 1996, shall govern the arbitration proceedings. The arbitration proceedings shall be in the English language and each party shall pay their own costs.
The User Agreement Terms and Conditions or the documents they incorporates by reference shall be governed and construed in accordance with the laws of India with courts at Mumbai shall have exclusive jurisdiction over the matters concerning this User Agreement.
Users and Dealers acknowledge that certain information relating to the Website, including but not limited to its technology, platform architecture, pricing structures, business processes, algorithms, analytics, software components, data, and operational methodologies constitutes confidential and proprietary information of CTT.
Users and Dealers agree to maintain the confidentiality of such information and shall not disclose, reproduce, distribute, or use such confidential information for any purpose other than the permitted use of the Website without the prior written consent of CTT.
CTT shall not be liable for any delay or failure in performance of its obligations under this Agreement if such delay or failure results from events beyond its reasonable control including but not limited to acts of God, natural disasters, war, terrorism, riots, government actions, cyberattacks, telecommunications failures, internet disruptions, or power outages.
CTT reserves the right, at its sole discretion and without prior notice, to suspend or terminate access to the Website if:
Upon termination, all rights granted to the User under this Agreement shall immediately cease.
The provisions relating to limitation of liability, indemnity, confidentiality, intellectual property rights, dispute resolution, governing law, and any other provisions which by their nature should survive termination shall survive termination or expiration of this Agreement.
Unless otherwise specified herein, this Agreement constitutes the entire agreement between the User and the Website and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the User and the Website. A printed version of this Agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this Agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.
